The terms of working with us

These Terms and Conditions set out the rules for using SMC's services and website. By engaging our services, you acknowledge that you have read, understood and agree to be bound by them.
1. Acceptance of Terms
By accessing and using the services of Shivani Management Consultancy (SMC), you accept and agree to be bound by these Terms and Conditions. If you do not agree with any part, please do not use our services.
These terms apply to all visitors, users and clients who access our compliance services, website, calculators and downloadable resources.
SMC may update these terms at any time. Continued use of our services after changes indicates acceptance of the modified terms.
2. Services Provided
SMC provides professional services including:
• Provident Fund (PF) compliance and management
• Employee State Insurance (ESI) compliance and management
• Payroll processing and salary administration
• Labour law licensing and compliance
• Statutory registration and filing
• Representation before statutory authorities
• Compliance audits and consulting
Services are provided in line with applicable Indian laws. Our services are advisory in nature; statutory compliance ultimately remains the responsibility of the client organisation.
3. Client Responsibilities
As a client, you agree to:
• Provide accurate, complete and timely information
• Maintain proper documentation and records as advised
• Respond promptly to queries and requests
• Make timely payments for services rendered
• Inform us of material changes that may affect compliance
• Review and verify filings before approval
Failure to fulfil these responsibilities may cause delays or non-compliance, for which SMC cannot be held liable.
4. Limitation of Liability
To the maximum extent permitted by law:
• SMC is not liable for indirect, incidental or consequential damages
• Our total liability shall not exceed the fees paid for the specific service in question
• We are not responsible for delays caused by circumstances beyond our control (force majeure)
• We are not liable for errors resulting from incomplete or untimely information from clients
• We are not responsible for penalties arising from client delays in providing information or approvals
5. Confidentiality
SMC maintains strict confidentiality of client information:
• We do not disclose confidential information to third parties without consent, except as required by law
• All employee and business data is treated confidentially
• Client information may be shared with statutory authorities (EPFO, ESIC, Labour Departments) only as necessary for compliance
This obligation survives the termination of our engagement.
6. Payment Terms
For all services provided:
• Fees are as per the agreed proposal or engagement letter
• Payment terms are typically Net 15 or Net 30 days from invoice date
• SMC may suspend services for non-payment
• All fees are exclusive of applicable taxes (GST etc.) unless stated otherwise
• Invoice disputes must be raised within 7 days of receipt
7. Termination
Either party may terminate the engagement with 30 days' written notice, subject to settlement of outstanding dues and completion of ongoing processes.
SMC may terminate immediately for non-payment, breach of terms, or if the client provides false information. Upon termination, confidentiality obligations continue and SMC will provide reasonable transition assistance.
8. Website, Tools & Disclaimer
Regarding this website and its free tools:
• Our calculators and downloadable forms are provided for general convenience and give approximate results only. Always confirm figures and the latest form versions before filing, or let us handle it for you.
• Downloadable government forms are provided from, or linked to, official sources; SMC is not responsible for changes made by those authorities.
• External links (including government portals and WhatsApp) are provided for convenience; we do not control and are not responsible for third-party content.
• Information on this website is general in nature and does not constitute legal advice. For advice specific to your business, please engage us formally.
9. Governing Law
These terms are governed by the laws of India. Any disputes are subject to the exclusive jurisdiction of the courts in Gurugram, Haryana.
Parties agree to first attempt resolution through good-faith negotiation before legal proceedings. These terms are subject to Indian laws including the Employees' Provident Funds Act 1952, the Employees' State Insurance Act 1948, the Payment of Gratuity Act 1972, and applicable state labour laws.
